1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Sunbase Data ("we," "us," "our"), governing your access to and use of www.roofreplacementcost.ai and the roof cost estimator and content available on it (together, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy is incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for users located in the United States and for properties located in the United States. We make no representation that the Service is appropriate or available elsewhere.

3. What the Service is

The Service provides:

• A free roof replacement cost estimator that produces an estimated cost range from information you enter
• Editorial content about roofing costs, materials, insurance, and financing

The Service is provided free of charge. No account is required.

4.  What the Service is not, and the limits of our estimates

This section is the most important part of these Terms. Read it.

4.1 Estimates are not quotes

Cost figures produced by our estimator and published in our content are general planning estimates based on typical market conditions. They are not:

• Quotes, bids, offers, or proposals
• Binding in any way on us, on any contractor, or on any insurer
• Guarantees that work can be obtained at the stated price
• Appraisals, valuations, or professional cost estimates

An online tool cannot inspect your roof. It cannot see the condition of your decking, your attic ventilation, existing water damage, structural issues, local permit requirements, or the specific conditions that will determine your actual cost. Actual costs commonly differ, sometimes substantially, from any estimate shown on this Service.

The only reliable way to know what your project will cost is a written, itemised proposal from a licensed roofing contractor who has physically inspected your roof.

4.2 No professional advice

Content on the Service is general information. It is not construction, engineering, roofing, structural, insurance, claims, tax, legal, financial, or investment advice, and it does not create any professional relationship between you and us.

Do not rely on the Service in place of advice from a qualified professional. Specifically:

• Insurance content describes how coverage commonly works. Your coverage is determined solely by your policy and your insurer. Consult your insurer, your policy documents, or a licensed public adjuster.
• Tax content describes rules as we understand them at the time of writing. Tax rules change and depend on your circumstances. Consult a tax professional and confirm current IRS guidance.
• Financing content describes categories of financing. It is not an offer of credit, a recommendation of any lender, or a representation that you will qualify for anything.
• Structural and safety content is general. If you suspect structural damage or an active leak, engage a qualified professional promptly.

4.3 We are not a contractor and do not arrange work

We do not perform roofing work. We do not bid on projects, employ or subcontract roofers, supervise work, inspect completed work, or warrant any contractor's licensing, insurance, competence, conduct, pricing, or workmanship.

We do not currently refer you to contractors. If we introduce such a feature, it will be optional, disclosed, and governed by terms presented at that time. Any agreement you enter with a contractor is solely between you and that contractor. We are not a party to it and have no liability arising from it.

Always independently verify any contractor's license, insurance, and standing with your state or local licensing authority before engaging them.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Scrape, crawl, harvest, or use automated means to extract content or data, except as permitted by our robots.txt for legitimate search engine and research crawlers
• Reproduce, republish, or redistribute substantial portions of our content without permission
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the estimator
• Submit false, misleading, or fraudulent information
• Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure
• Introduce malware, or attempt to circumvent security or access controls
• Use the Service to compile a competing product, database, or commercial dataset
• Remove, obscure, or alter any proprietary notice
• Impersonate any person or misrepresent your affiliation

We may investigate suspected violations and suspend or terminate access without notice.

6. Intellectual property

6.1 Our content

The Service, including its text, cost analysis, methodology, tables, graphics, design, layout, software, and the RoofReplacementCost.ai name and logo, is owned by us or our licensors and protected by United States and international intellectual property law.

6.2 Limited license to you

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own personal, non-commercial purposes, including planning your own roofing project.

You may quote brief excerpts of our content with attribution and a link to the source page. You may not republish substantial portions, create derivative works, or use our content commercially without our prior written permission.

6.3 Feedback

If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. Do not send us anything you consider confidential.

7. Third party content and links

The Service links to third-party websites and references third-party products, manufacturers, standards bodies, insurers, and lenders. We provide these for information. We do not control them, do not endorse them by linking to them, and are not responsible for their content, products, services, or practices. Your dealings with any third party are solely between you and that third party.

Product names, brands, and trademarks referenced on the Service belong to their respective owners. Reference to them does not imply affiliation, sponsorship, or endorsement in either direction.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• Cost estimates or content will be accurate, complete, current, or suitable for your circumstances
• Any estimate will correspond to prices actually available to you
• The Service will be uninterrupted, timely, secure, or error-free
• Defects will be corrected, or that the Service is free of harmful components

You use the Service, and rely on any cost information on it, at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or relating to your use of or inability to use the Service, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.

Without limiting the above, we are not liable for:

• Any difference between an estimate shown on the Service and the actual cost of your project
• Decisions you make in reliance on our cost information, including budgeting, financing, insurance claim, or contractor selection decisions
• The acts, omissions, pricing, workmanship, or conduct of any roofing contractor, lender, insurer, or other third party
• Any outcome of an insurance claim
• Damage to property or persons arising from roofing work

You acknowledge that the Service is provided free of charge, that these limitations are a fundamental basis of the bargain between us, and that we would not provide the Service without them.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sunbase Data and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any dispute between you and a contractor, lender, insurer, or other third party.

11. Copyright complaints

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent containing:

1. A physical or electronic signature of the copyright owner or authorized agent
2. Identification of the copyrighted work claimed to be infringed
3. Identification of the material claimed to be infringing and its location on the Service
4. Your contact information
5. A statement that you have a good faith belief the use is not authorized
6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act
   

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms. You may stop using the Service at any time.

13. Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

No third party beneficiaries. These Terms create no rights in any third party.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

Changes to these Terms. We may modify these Terms. We will update the "Last updated" date, and for material changes we will post a prominent notice on the Service at least [30] days before they take effect. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
